Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Gradde AI (“Gradde”, “we”, “us”) at gradde.co and app.gradde.co. By creating an account or using the service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use Gradde.

Who may use Gradde

Gradde is designed for adult educators, school administrators, and homeschool parents who are at least 18 years old. You must provide accurate account information and keep your login credentials secure. You are responsible for all activity under your account. If you use Gradde on behalf of a school or organization, you represent that you have authority to bind that organization to these Terms.

The service

Gradde provides an online gradebook with AI-assisted report comments, report generation, and optional parent/guardian sharing features. We may update, improve, or discontinue features over time. Gradde is provided on a best-efforts basis and is not a student information system (SIS), learning management system (LMS), or official record of a school unless your school designates it as such.

Free and paid plans

Gradde offers Free, Teacher Pro, School, and District plans. Current limits and pricing are shown at gradde.co/pricing and in the app at checkout. • Free — one classroom, up to 30 students, limited AI comments, report preview/download only. • Teacher Pro — solo educator plan with unlimited classrooms and students, email report sharing, and higher AI limits. • School — per-seat plan (minimum 3 seats) for multi-staff schools, with pooled AI usage, analytics, WhatsApp sharing, and school branding. • District — custom sales-led plans; contact hello@gradde.co. Paid subscriptions are billed monthly or annually through Freemius (our current merchant of record). Some legacy subscriptions may still be processed through Paddle. Payment card details are collected and stored by the merchant of record, not by Gradde. Optional AI Boost add-on (Teacher Pro and School) removes monthly AI comment caps for an additional per-active-student fee as displayed at checkout. District plans include unlimited AI usage.

Free trial

Paid plans may include a free trial as shown at signup (typically 30 days). Your payment method may be collected at signup, but you will not be charged until the trial ends unless otherwise stated at checkout. You may cancel during the trial to avoid charges. Invite codes or promotions may offer different trial lengths. The terms shown at signup apply to your subscription.

Pricing changes

We may change standard plan pricing with at least 30 days' notice by email before the change affects your renewal. Price changes do not apply retroactively to your current paid term. If you do not agree to a price change, you may cancel before your next renewal.

Cancellation

You may cancel a paid subscription at any time from inside the product (Settings → Billing) or by emailing hello@gradde.co from your account email. Cancellation takes effect at the end of your current billing period unless otherwise stated at signup. You keep paid-plan access until then. When the paid period ends, your account automatically downgrades to the Free plan. Your data remains available subject to Free plan limits unless you request account deletion. Acceptable use

You agree not to: • Enter student or personal data you do not have the legal right to process. • Use Gradde to violate FERPA, COPPA, SOPIPA, GDPR, or other applicable laws. • Attempt to probe, scan, or breach the security of the service. • Reverse engineer, scrape, or resell the service except as expressly permitted. • Upload malware or use Gradde to send spam or abusive content. • Misrepresent AI-generated comments as fully human-written official records without appropriate educator review. Schools and educators are responsible for obtaining any consents required before entering student data into Gradde.

Student data and privacy

For student records entered into Gradde, the school or educator is the data controller and Gradde is the data processor. Our Privacy Policy at gradde.co/privacy explains what we collect, how AI feedback is generated, and our sub-processors. Schools may request a Data Processing Addendum (DPA) at hello@gradde.co.

AI feedback

AI-drafted feedback is a starting point to help educators write report comments faster. Teachers and administrators are responsible for reviewing, editing, and approving every comment before sharing it with a student, parent, or guardian. Gradde's AI is a tool to support professional educator judgment — not a substitute for it. You are solely responsible for the final content you publish or share from Gradde.

Your content

You retain ownership of the gradebook data, comments, and other content you enter into Gradde. You grant Gradde a limited license to host, process, back up, and display that content solely to provide the service — including transmitting de-identified performance data to our LLM sub-processor when you request AI feedback, as described in our Privacy Policy.

Our intellectual property

Gradde, the Gradde logo, and the service's software, design, and documentation are owned by Gradde AI and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks or brand except as needed to use the service in the ordinary course.

Disclaimer of warranties

GRADDE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the service will be uninterrupted, error-free, or that AI-generated text will be accurate, unbiased, or suitable for any particular student or jurisdiction.

Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, GRADDE AI AND ITS OPERATORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, PROFITS, REVENUE, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE SERVICE IS LIMITED TO THE GREATER OF (A) THE AMOUNT YOU PAID TO GRADDE IN THE 12 MONTHS BEFORE THE CLAIM, OR (B) USD $100. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

Indemnification

You agree to indemnify and hold harmless Gradde AI from claims, damages, and expenses (including reasonable legal fees) arising from your use of the service, your content, your violation of these Terms, or your violation of any law or third-party rights — including claims related to student data you enter without proper authorization.

Suspension and termination

We may suspend or terminate your access if you violate these Terms, fail to pay applicable fees, or if continued access poses a security or legal risk. You may stop using Gradde at any time. Sections that by their nature should survive termination — including payment obligations, disclaimers, limitation of liability, and indemnification — will survive.

Changes to these Terms

We may update these Terms from time to time. We will post the revised version at gradde.co/terms and update the “Last updated” date. Material changes will be communicated by email or in-product notice where required. Continued use after changes take effect constitutes acceptance of the updated Terms.
